Agreement Of Sale Of Equipment

– __________________________as a first phased payment under this agreement and subsequently this contract to purchase master`s equipment, is entered into between Cryogenic Solutions, LLC, a limited liability company in Indiana, which operates as CIS, Cryogenic Inventory Solutions with a head office in South Lynhurst Drive, Suite M, Indianapolis, IN 46241 (« Buyer ») and a (« Seller »). The buyer wishes to buy from the seller and the seller wishes to sell material to the buyer, in or in separate purchase transactions depending on the orders that may be placed by the buyer to the seller under this agreement. In view of the mutual pacts and agreements described below, and for other good and valuable counterparties whose preservation and sufficiency are recognized, the parties agree: 11. « AS IS » CONDITION OF EQUIPMENT: the seller does not offer any guarantee to the buyer for the sale of the equipment and all the devices described here are sold in its « as it is » condition. 4. RELATIVE TITLE TO THE EQUIPE: The seller states that he owns all the devices described here freely and clearly and that this equipment is exempt from all pawn rights. 12. The seller guarantees that the machine and equipment in question are free of mechanical defects in the processing and quality of the equipment used for this purpose in normal use and service. The seller also guarantees that the seller will perform repairs at his own expense if the machine and equipment in question fail or require repairs due to such a mechanical defect or treatment during a year (as a warranty period).
